UM, I'M, I'M VERY PROUD TO SHARE.

DEAN HAS, UH, HELPED TALKED TO A FEW FOLKS IN AUSTIN FOR OUR DISTRICT, AND HAS CONNECTED, I THINK WITH ALL OF OUR STATE REPRESENTATIVES.

GARLAND HAS FOUR THAT COME INTO GARLAND IN DIFFERENT, I MEAN, UH, ONE REP HAS DOWNTOWN GARLAND, BUT THE OTHER FOUR, JUST ALL OF GARLAND.

BUT IT'S, IT WILL LOOK GOOD ON OUR APPLICATION TO HAVE ALL FOUR SUPPORTING US.

SO I SENSE STUFF TO ALL FOUR OFFICES TO HAVE THEM WRITE LETTERS AND SUPPORT OF IT, AND THEY WERE ALL VERY EXCITED AND GLAD TO BE ABLE TO DO THAT.

AND SHE SAID SHE WOULD TALK WITH THE OTHER ONES TOO, SO, YEAH.

AND SO, UH, TONIGHT AT THE CITY COUNCIL MEETING, THEY'LL APPROVE A RESOLUTION IN SUPPORT OF OUR PURSUIT.

SO WE'RE WORKING HARD ON OUR APPLICATION.

AND GARLAND WAS, HI GARLAND WAS VERY INTENTIONAL ABOUT, UH, MAKING SURE THAT THE BANK BANKHEAD CAME THROUGH GARLAND, AND LOTS OF CULTURAL AND ECONOMIC IMPACT CAME WITH THE BANKHEAD HIGHWAY.

AND SO WHAT WE'RE PURSUING IS OUR, UH, GARLAND'S BANKHEAD CULTURAL ARTS DISTRICT.

SO IT'S REALLY EXCITING.

IT CAPTURES THE ARTS FACILITIES.

IT CAPTURES THE $30 MILLION THAT THEY'RE SPENDING IN DOWNTOWN.

AND WE HAD PRESENTATIONS FROM, UH, JOSEPH ELLI, UH, HAS A PROGRAM CALLED THE ARTIST OUTREACH TEACHING CHILDREN THROUGH MUSIC, UH, AS A, UH, IT WAS REALLY VERY INTERESTING.

AND WE HAD A PRESENTATION FROM LEAH HANSON, THE DALLAS MUSEUM OF ART ABOUT THEIR, THEIR, UH, KIDS PROGRAM, YOUTH PROGRAM.

AND THEN WE HAD CHRISTINA DOVE CAME AND, UH, TALKED ABOUT, UH, BIG THOUGHT, UM, WHICH IS A EDUCATION PROGRAM FOR AT RISK, UH, UH, KIDS.

AND, AND THERE WAS A GREAT, UH, ART ASPECT TO THAT AND EVERYTHING.

SO, UM, THAT WAS THE LAST ONE THEN.

THEN WE HAD A MEETING MAY 9TH, WHERE WE GRADUATED .

SO THAT WAS .

AND I GUESS I JUST BRIEFLY ON THE MAY 9TH, WE, WE TALKED ABOUT OUR, OUR CLASS PROJECT, WHICH WAS THE, UH, ART BOOST DALLAS.

SO WE HAD A PROGRAM DOWN, UH, UH, THE WILEY THEATER ON APRIL 29TH, A HALF DAY SEMINAR THAT WE BROUGHT IN EXPERTS IN ART TO TEACH ARTISTS.

UH, ARTISTS ARE, THEY'VE, THEY'VE GOT THEIR TECHNIQUES, THEY'VE GOT THEIR ART TRAINING, BUT THEY DON'T HAVE BUSINESS TRAINING.

THEY DON'T KNOW MARKETING AND, AND BUSINESS LIKE, PROBABLY LIKE THEY SHOULD.

AND WE DECIDED WE WERE GONNA ADDRESS THAT WITH OUR CLASS PROJECT.

AND WE HAD THE SEMINAR BRINGING AN NEXT EXPERTS TO TALK ABOUT MARKETING, LEGAL, UH, SELLING THE ARTWORK, WORKING WITH CITIES, AMY CAYMAN PRESENTED.

AND, AND, UH, IT TURNED OUT IT WAS A, IT WAS A GREAT, IT WAS EXCEEDED MY EXPECTATIONS.

SO IT WAS, IT WAS A VERY, VERY WELL ATTENDED, VERY GOOD, UH, UH, EVENT.

UH, SO THAT WAS THE, THE CLASS PROJECT FOR, UH, FOR THE LEADERSHIP ARTS.

WHY DON'T YOU INTRODUCE MARCUS GUEST AND I, I'LL, AND OVER HERE IS OUR GREAT LEADER FROM THE BCA IS CATHERINE WAGNER, AND THIS IS A, SHE IS ABOUT TO RETIRE, BUT SHE LED US THROUGH OUR WHOLE PROGRAM AND, AND HAD TO CRACK THE WHIP A COUPLE OF TIMES TO, TO KEEP IT.

YOU ALL DID GREAT .

AND SO, UH, CATHERINE'S GONNA BE, IS HERE TODAY TO TALK ABOUT BOARD MEMBERSHIP AND BOARD RESPONSIBILITY.

SO IT'S NOT THE LADIES WHO LUNCH BOARD, IT IS MEN AND WOMEN WHO WORK HARD AND WHO HAVE A PASSION FOR THE ARTS.

AND WE ALWAYS, UM, HAVE OUR EYE ON, THEY ALWAYS HAVE THEIR EYE ON ARE WE, UM, WALKING THE WALK.

SO WE TEACH, UM, LEADERSHIP AND BOARD LEADERSHIP TO, UM, AMAZING PEOPLE LIKE CHIP AND THEN, AND LOTS OF BUSINESS PROFESSIONALS, BUT WE ALSO ARE REALLY MINDFUL THAT WE NEED

TO ALWAYS KEEP OURSELVES TO THOSE STANDARDS.

SO REALLY PROUD OF MY BOARD.

UM, EVERY TIME I SEE SOMETHING NEW OR LEARN SOMETHING NEW, I'M JUST STUNNED AND TRYING TO SHARE HOW MUCH YOU ALL ARE DOING.

UM, INCLUDING YOUR INVITATIONAL FOR YOUR, UM, JURY SHOW COMING UP.

UM, OF COURSE, UH, PATTY GRAND ONE, UH, PASS, PASS AWARD.

YOU HAVE AMY, AND IT'S ALMOST BEEN A YEAR SINCE SHE CAME HERE, MUCH TO I'M SURE MCKINNEY'S LOSS.

UM, SO WHAT ARE THE DUTIES OF THE BOARD? AND I KNOW YOUR COMMISSION, NOT A BOARD, BUT YOU KNOW, IT'S GONNA BE THE SAME LEVEL OF DUTY AND YOU ARE A NON-PROFIT, RIGHT? SO YES.

UM, SAME THING.

SO YOU HAVE THREE THINGS, DUTY OF CARE, DUTY OF LOYALTY, AND DUTY OF OBEDIENCE.

AND SO HOW DOES THAT BREAK DOWN? AND SO HERE'S A LITTLE BIT OF DETAIL.

UM, DUTY OF CARE IS YOU, UM, YOU PROBABLY HAVE A CERTAIN AMOUNT OF BOARDROOM MEETINGS THAT YOU HAVE TO ATTEND.

YOU SHOULD ATTEND ALL OF THEM.

WHY SHOULD YOU ATTEND ALL OF THEM? YOU NEED TO KNOW WHAT'S GOING ON, SHOULD SOMETHING OCCUR, SOMETHING THAT WOULD HAVE A LEGAL REPERCUSSION.

UM, AND YOU HAD NOT FULFILLED YOUR DUTY OF CARE AND YOU DIDN'T COME TO BOARD MEETINGS AND YOU DIDN'T PAY ATTENTION.

YOU COULD BE RESPONSIBLE FOR WHATEVER THAT, UM, MALFEASANCE WANTS.

YOU HAVE NOT EXERCISED YOUR DUTY OF CARE.

UM, SO THAT IS SOMETHING THAT YOU SIGN UP TO BE A FIDUCIARY WHEN YOU SIGN UP FOR A BOARD.

AND SO THAT ALSO MEANS THAT YOU'RE GONNA READ THE DOCUMENTS, UM, AND THAT YOU'RE GOING TO MAKE JUDGEMENTS IN THE MOST PRUDENT MANNER POSSIBLE.

SO YOU'RE GOING TO HAVE DISCUSSIONS, YOU'RE GOING TO SPEND TIME LOOKING AT THE DOCUMENTS, YOU'RE GONNA THINK THROUGH ISSUES.

YOU ARE REALLY GONNA COMMIT YOURSELF TO THIS BOARD.

THAT'S WHAT THAT MEANS.

THE DUTY OF LOYALTY IS NO CONFLICT OF INTEREST, FIRST OF ALL.

AND THAT MEANS NO CONFLICT OF INTEREST WHERE YOU WILL GAIN SOMETHING.

UM, AND THAT GAINING COULD BE EVEN, UM, YOU KNOW, UH, TALKING OUT OF SCHOOL OR, UM, YOU KNOW, SAYING THAT YOU'RE GOING TO, UM, OFFER A SERVICE THAT'S THE CLASSIC ONE, OFFER A SERVICE THAT, UM, YOU WANT THE BOARD TO PAY FOR, UM, VERSUS SOMEBODY ELSE.

YOU CAN ACTUALLY DO THAT.

SOMEBODY ON THE BOARD CAN ACTUALLY OFFER SERVICE.

BUT WHEN YOU DO THAT, THE BOARD SHOULD MAKE SURE THAT THEY HAVE OTHER BIDS THAT SHOW THAT YOUR COMPANY OR YOU AS A SERVICE PROVIDER, UM, ARE GONNA PROVIDE AN EQUAL LEVEL OF SERVICE, UM, FOR A LESSER AMOUNT.

AND YOU'VE GOTTA HAVE THAT DOCUMENTED.

SO IT'S NOT TRUE, LIKE A LOT OF PEOPLE BELIEVE THAT YOU CAN'T GET PAID FOR SOMETHING, BUT YOU HAVE TO BE SUPER CAREFUL ABOUT IT.

UM, AND, UM, IT ALSO MEANS YES, NOT USING ORGANIZATIONAL INFORMATION SO THAT YOU LOOK LIKE YOU'RE IN THE KNOW, BUT IT'S COMPROMISING THE ORGANIZATION.

AND THEN DUTY OF OBEDIENCE IS WHAT IS THE MISSION.

AND I ALWAYS FEEL THAT THE MOST, THE HEALTHIEST BOARDS, AND I FEEL THIS WAY ABOUT OUR BOARD, IS THAT WE DON'T LIKE LOOK AT EACH OTHER AND GO, OH, I DON'T LIKE WHAT SO-AND-SO SAID, OR I DON'T LIKE SO-AND-SO, OR WHATEVER IT IS.

I FEEL THAT WE ALL LOOK UP INSTEAD OF LOOKING ACROSS AND THAT WE ALL LOOK UP AT WHAT IS THE MISSION, WHAT IS THE BEST THING FOR THE ORGANIZATION.

AND THAT'S WHAT GUIDES US.

AND YOU KNOW, I FEEL THAT IF YOU DO THAT, YOU KNOW, THEN EVERYTHING BECOMES CLEAR.

THERE'S NOT, YOU KNOW, THAT JUST CLARIFIES EVERYTHING VERSUS ANY KIND OF PERSONAL FEELINGS ABOUT ANYBODY.

UM, YOU HAVE TO ADHERE TO THE BYLAWS OF THE ORGANIZATION.

SO I DON'T KNOW, YOU KNOW, WHAT YOUR RULES AND REGULATIONS ARE, WHAT YOUR BYLAWS ARE.

I WONDER THE LAST TIME THAT EVERYBODY LOOKED AT THEM MIGHT BE, AND IT IS NORMAL PRACTICE NOT TO LOOK AT THEM FOR A SUPER LONG, A SUPER LONG PERIOD OF TIME.

AND, YOU KNOW, JUST SO JUST, YOU KNOW, UH, BUT YOU MIGHT LOOK AT THEM AND SAY, AS WE DID A WHILE BACK, OH YEAH, THE BYLAWS, THEY SAY THIS, THAT DOESN'T MAKE ANY SENSE.

WE DON'T EVEN DO THAT.

WE NEED TO CHANGE THE BYLAWS, .

SO, SO INSTEAD OF LIKE CHANGING A PRACTICE, IT DIDN'T MAKE SENSE FOR

US ANYMORE, BUT IT DID 10 YEARS AGO.

WE JUST, UH, HAVE AN ATTORNEY ON BOARD THAT HELPED US.

WE REFILED THE BYLAWS.

UM, BUT ALSO YOU HAVE TO MAKE SURE THAT DUTY OF OBEDIENCE ARE YOU OB OBEYING ALL THE LAWS OF THE LAND? SO, YOU KNOW, ARE YOU FILING YOUR NINE 90? UM, ARE YOU, UM, YOU KNOW, I THINK EVEN BEST PRACTICES, DO YOU KNOW WHAT BEST PRACTICES ARE FOR A NONPROFIT BOARD? YOU CAN LOOK AT BOARD SOURCE.

SO IT'S THE OBEDIENCE, UM, TO THE LETTER OF THE LAW.

BUT I THINK IT'S ALSO OBEDIENCE TO A CERTAIN CODE OF VALUES.

AND SO THAT IS SOMETHING THAT I THINK CAN EVEN BE DISCUSSED.

LIKE, WHAT ARE OUR VALUES? UM, WE KNOW WHAT OUR MISSION IS, BUT HOW DO WE LIVE THAT OUT? SO THAT'S, YOU KNOW, THAT'S A DETAIL OF THESE THREE REALLY IMPORTANT THINGS THAT ANYTIME YOU REALLY, ANYTIME WE TALK ABOUT BOARD LEADERSHIP, WE'RE ALWAYS TALKING ABOUT CARE AND LOYALTY AND OBEDIENCE.

AND YOU KNOW, AGAIN, IF YOU THINK ABOUT THOSE AS YOUR GUIDING VALUES, WHAT KIND OF THINGS FALL INTO PLACE? SO, UM, QUICK TESTS, THESE ARE JUST LIKE FUN LITTLE QUICK TESTS, UH, THAT KIND OF MADE UP OUT OF THE PREVIOUS THINGS.

SO CAN YOU RECITE THE MISSION? UM, BUT I THINK EVEN BETTER THAN RECITING THE MISSION, BECAUSE EVERYBODY CAN MEMORIZE, BUT IT'S A DIFFERENCE BETWEEN LIKE, THINK ABOUT SCHOOL MEMORIZATION VERSUS SCHOOL SYNTHESIS, RIGHT? YOU WANT, YOU WANT PEOPLE WHO ARE CRITICAL FINGERS.

SO I WOULD PREFER IF I WENT AROUND THIS ROOM TO HEAR WHAT YOUR MISSION WAS, WHAT THE MISSION WAS IN YOUR OWN WORDS.

AND, UM, THE QUESTION THERE IS, IS IT FEASIBLE? IS IT FEASIBLE? UM, AND THEN THE SECOND ONE ESTABLISH IS BASICALLY IN MY WORDS, CAN WE MAKE IT FLY? HOW DO WE BECOME A NONPROFIT? HOW CAN WE START THIS THING AND MAKE IT, UM, A REAL ENTITY? NOW, I GONNA SKIP THOSE BECAUSE OF TIME.

THE CHALLENGES ARE THAT BECAUSE YOU'VE BEEN GROWING, THERE'S THIS NEED FOR THE INSTITUTIONALIZATION, AND THAT'S WHERE YOU ARE.

AND I FEEL LIKE THAT IS WHERE YOU ARE BECAUSE EVEN JUST THE FACT THAT YOU'RE GOING FOR A CULTURAL DISTRICT DESIGNATION THAT YOU'RE VERY INTERESTED IN WHAT DOES GROWTH MEAN TO US AS A COMMITTEE.

UM, THE FACT THAT YOU WOULD EVEN BE INTERESTED IN THAT SAYS, WHAT IS OUR ROLE THAT YOU'RE EACH WONDERING, LIKE, WHAT IS OUR ROLE TO CONTRIBUTE TO THIS GROWTH AND MAKE IT, UM, STABLE? UM, SOMETIMES WHEN THERE'S CHANGE, PEOPLE CAN BE UNHAPPY.

I HAVEN'T HEARD OF ANY UNHAPPINESS WITH YOU ALL, BUT THAT WOULD BE TYPICAL IF THERE ARE SOME PEOPLE THAT ARE JUST OUT OF SORTS BECAUSE THEY USED TO GET A BIGGER SHARE OF THE PIE OR BE MORE WHATEVER.
